Terms of Service

Welcome to MittenUp! These Terms of Service ("Terms") govern your use of the MittenUp mobile application (the "App") operated by 110Digital Labs LLC ("we," "us," or "our").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By creating an account or using the App, you confirm that:

  • You are at least 13 years of age
  • You have the legal capacity to enter into these Terms
  • You will comply with these Terms and all applicable laws

If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

MittenUp is a recipe and meal planning application that provides:

  • Recipe storage and organization
  • AI-powered recipe suggestions and generation
  • Meal planning and scheduling
  • Grocery list management
  • Recipe parsing from URLs, text, and images
  • Community recipe sharing
  • Cooking assistance and recipe modifications

3. Account Registration

Creating an Account

To use most features of the App, you must create an account using:

  • Email and password, or
  • Apple Sign-In

Your Responsibilities

You are responsible for:

  • Providing accurate account information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payments

Subscription Plans

MittenUp offers subscription plans that provide access to premium features, including:

  • Subscription plans
  • Recipe credit packs

Billing

  • All purchases are processed through the Apple App Store
  • Subscription billing, renewal, and cancellation timing are governed by Apple's App Store policies

Cancellation

  • You may cancel your subscription at any time through your App Store account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial subscription periods

Credit Purchases

  • Recipe credit packs are consumable, one-time purchases
  • Credits are used for AI-powered recipe generation and related features
  • Unused credits do not expire while your account is active
  • Credits are non-refundable and non-transferable

Refunds

Refund requests are handled by Apple in accordance with App Store policies. We do not have the ability to issue refunds directly.

5. User Content

Your Content

"User Content" includes recipes, grocery lists, meal plans, chat messages, and any other content you create, upload, or share through the App.

Ownership

You retain ownership of your User Content. By using the App, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Store, process, and display your content to provide the App's features
  • Process your content through AI services for recipe suggestions and generation
  • Create anonymized, aggregated data for service improvement

Community Sharing and Content License

By using the App, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute:

  • Recipes that appear in community feeds (displayed anonymously)
  • Any content processed through our AI features, including recipes generated from your screenshots, images, URLs, or text inputs

Other users may view and save copies of recipes shared in the community feed. We may use this content to improve our services, train AI models, and for promotional purposes.

Content Restrictions

You agree not to upload or share content that:

  • Infringes intellectual property rights of others
  • Contains false, misleading, or harmful information
  • Is illegal, abusive, or violates others' rights
  • Contains malware or malicious code
  • Violates these Terms or applicable laws

We reserve the right to remove content that violates these Terms.

Community Moderation

To help maintain a safe and welcoming community, MittenUp provides content reporting features:

Reporting Content: If you encounter content in the community feed that you believe violates these Terms or community guidelines, you may report it through the App. Reports are reviewed by our moderation team.

Moderation Actions: We reserve the right to:

  • Remove content that violates our guidelines
  • Suspend or ban users who repeatedly violate community standards
  • Take action against accounts used to harass, abuse, or harm others

No Guarantee: While we strive to review all reports promptly, we do not guarantee that all reported content will be reviewed or that action will be taken. You acknowledge that community content is user-generated and may not be moderated in real-time.

Good Faith Reporting: You agree to only report content in good faith when you genuinely believe it violates our Terms or community guidelines. Abuse of the reporting system may result in action against your account.

6. AI Features and Limitations

AI-Powered Features

The App uses artificial intelligence to provide:

  • Recipe suggestions based on your preferences
  • Recipe generation from descriptions
  • Recipe parsing from URLs and images
  • Cooking assistance and modifications
  • Meal planning recommendations

Important Disclaimers

NOT MEDICAL OR NUTRITIONAL ADVICE: The App does not provide medical, nutritional, or dietary advice. All content—including recipes, suggestions, and nutritional information—is for informational purposes only.

ALLERGY WARNING: While we attempt to respect your stated allergies and dietary restrictions, content in the App may contain errors. Always verify ingredients and nutritional information independently, especially if you have food allergies, intolerances, or medical dietary requirements.

ACCURACY: Content in the App—whether AI-generated, user-submitted, or parsed from external sources—may contain inaccuracies, including:

  • Incorrect ingredient quantities
  • Missing or incorrect cooking instructions
  • Inaccurate nutritional information
  • Suggestions that don't fully account for your restrictions

YOUR RESPONSIBILITY: You are solely responsible for reviewing all content before use and verifying its accuracy and safety. You assume all risks associated with using any recipes, cooking instructions, or suggestions from the App.

7. Prohibited Conduct

You agree not to:

  • Use the App for any illegal purpose
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's functionality
  • Use automated systems to access the App without permission
  • Reverse engineer or attempt to extract source code
  • Impersonate others or misrepresent your affiliation
  • Use the App to harass, abuse, or harm others
  • Circumvent usage limits or subscription restrictions
  • Share account credentials with others
  • Use the App in ways that could harm minors

8. Intellectual Property

Our Content

The App and its original content (excluding User Content), features, and functionality are owned by 110Digital Labs LLC and are protected by copyright, trademark, and other intellectual property laws.

Trademarks

"MittenUp," our logo, and related marks are trademarks of 110Digital Labs LLC. You may not use our trademarks without prior written permission.

Feedback

If you provide feedback or suggestions about the App, you grant us the right to use that feedback without compensation or attribution.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF CONTENT

WE DO NOT WARRANT THAT:

  • The App will be uninterrupted or error-free
  • Defects will be corrected
  • The App is free of viruses or harmful components
  • Results from using the App will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 110DIGITAL LABS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY PERSONAL INJURY, ILLNESS, OR HEALTH-RELATED DAMAGES
  • ANY DAMAGES RESULTING FROM:
    • Your use or inability to use the App
    • Any unauthorized access to your data
    • Any errors or omissions in content, including recipes, nutritional information, or cooking instructions
    • Any third-party conduct on the App
    • Content that is inaccurate, incomplete, or harmful—whether AI-generated, user-submitted, or from any other source
    • Your reliance on any information or content provided through the App
    • Any actions you take based on content from the App, whether inside or outside the App
    • Food preparation, cooking, or consumption based on recipes or suggestions from the App
    • Allergic reactions, food-related illness, or any adverse health effects
    • Any decisions you make based on information from the App

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU USE THE APP AND ALL CONTENT AT YOUR SOLE RISK. WE ARE NOT RESPONSIBLE FOR ANY CONSEQUENCES ARISING FROM YOUR USE OF RECIPES, COOKING INSTRUCTIONS, NUTRITIONAL INFORMATION, OR ANY OTHER CONTENT IN THE APP.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless 110Digital Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

12. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Agreement to Arbitrate

You and 110Digital Labs LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration rather than in court, except that either party may bring claims in small claims court if eligible.

Class Action Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Arbitration Procedures

  • Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules
  • The arbitration will be conducted in English
  • The arbitrator's decision will be binding and may be entered as a judgment in any court of competent jurisdiction

Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@mittenupnow.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.

Exceptions

This arbitration agreement does not apply to:

  • Claims for injunctive or equitable relief
  • Claims related to intellectual property rights
  • Claims eligible for small claims court

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Delaware.

14. Termination

By You

You may terminate your account at any time by deleting your account through the App settings or contacting us at support@mittenupnow.com.

By Us

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees
  • For any other reason at our sole discretion

Effect of Termination

Upon termination:

  • Your right to use the App immediately ceases
  • We may delete your account and User Content
  • Provisions that should survive termination will remain in effect (including Sections 9, 10, 11, 12, and 13)

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms in the App
  • Updating the "Last Updated" date
  • Sending a notification through the App (for significant changes)

Your continued use of the App after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the App.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
